These Terms of Service ("Terms") are a binding agreement between you, or the organization you represent ("Customer," "you"), and Arodus Inc. ("Arodus") governing access to and use of the Arodus platform and arodus.com (the "Service"). By creating an account or using the Service, you confirm you have read and agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it.

The service

Arodus provides a subscription vendor intelligence platform that connects to your accounting or ERP system to identify your vendors and monitor them for risk events across six dimensions: operational, financial, cybersecurity, compliance, reputational, and strategic. For each vendor, the Service shows a dated record of events, each with a link to its source and a label describing the evidence behind it, together with a network of verified peer reviews and ratings tied to real spend. Arodus does not currently assign an overall score or rating of its own to any organization; ratings shown in the Service are aggregated opinions of verified buyers. The Service also includes report delivery and sharing and third-party integrations. Features depend on your plan as described at arodus.com. Arodus may modify, add, or discontinue features with reasonable notice.

Account registration

You must register with a valid business email and accurate company information. You are responsible for the confidentiality of your credentials and for activity under your account. Notify us at legal@arodus.com of suspected unauthorized access. You may not share credentials outside your organization or across unaffiliated companies.

Subscriptions and billing

Arodus offers a 30-day trial on the Startup, Standard and Pro plans. Founding Member subscriptions have no trial (see Founding Member pricing). A valid payment card is required to start the trial, and nothing is charged during it. When you start the trial you choose a plan: Startup at $20 per month, Standard at $150 per month, or Pro at $300 per month, each including unlimited vendor monitoring and unlimited seats. Unless you cancel before the trial ends, your paid subscription begins automatically on day 30 and your card is charged the monthly price of your plan then and each month after until you cancel. Arodus will email you before the first charge. Cancelling during the trial from your account settings ends the trial with no charge. The Startup rate is available to customers whose connected accounting ledger shows less than $1,000,000 in vendor spend over the trailing twelve months. If no ledger is connected by the end of the trial, or the connected ledger shows $1,000,000 or more, the subscription starts on Standard, and Arodus will tell you before the first charge. If that figure later reaches or exceeds $1,000,000, the subscription moves to Standard at the start of the next billing period; a later decrease below that threshold does not return the subscription to Startup. Subscriptions bill monthly and renew automatically until cancelled. Cancellation after the trial takes effect at the end of the current billing period with no prorated refund. If a payment fails and is not resolved, Arodus may pause monitoring and place the workspace in read-only mode. Pricing may change with 30 days written notice to active subscribers.

Your data and rights to use it

You retain ownership of all data you bring to Arodus, including ERP data, vendor lists, and payment records. You grant Arodus a limited, non-exclusive license to process that data to provide and improve the Service and to generate the aggregate, anonymized network intelligence described below and in the Privacy Policy. Where your data includes personal data, Arodus processes it as your processor under the Data Processing Addendum at arodus.com/dpa, which forms part of these Terms. Optional data you choose to share, such as bill line items, is processed only for your workspace and is never used in network signals or shown to other customers. You represent and warrant that you have the legal right and authority to connect your ERP system and share the relevant data with Arodus, and to submit any content you provide. Upon cancellation or written request, your individual account and ERP data will be deleted within 30 days. Anonymized contributions already incorporated into aggregate network signals may persist in non-identifiable form, as described in the Privacy Policy.

User contributions and the review network

The Service lets you submit reviews, ratings, and commentary about vendors (your Contributions). You retain ownership of your Contributions and grant Arodus a worldwide, royalty-free, sublicensable license to host, display, anonymize, aggregate, weight, and distribute them within the Service and network, including in anonymized but attributed form (role and verified spend band) as described in the Privacy Policy. You represent that each Contribution is your genuine, good-faith assessment based on a real paying relationship with the vendor, is truthful and not knowingly false, misleading, or defamatory, and does not disclose another party's confidential information or violate any law or agreement. You will not submit Contributions for vendors you do not pay, manipulate ratings, or post content that is unlawful, harassing, or infringing. You may not offer or accept compensation or incentives for Contributions. Consistent with the published methodology, a Contribution may continue to count toward a vendor's rating for up to twelve months after the paying relationship behind it ends, at declining weight. Arodus does not endorse and is not responsible for Contributions, which reflect the opinions of the customers who post them, and Arodus may review, moderate, remove, or refuse any Contribution and may suspend accounts that violate these Terms.

Acceptable use

You may use the Service only for lawful, internal business purposes on behalf of your registered organization. You may not: resell or sublicense access; use the Service to build a competing product or to extract or reverse-engineer Arodus's methodology, scoring or weighting logic, event records, ratings data, or the network; scrape, harvest, or bulk-export network data beyond your own entitlements; disrupt or probe the infrastructure; or use the Service in violation of law. Material breach may result in suspension or termination without refund.

Third-party services and integrations

The Service connects to third-party systems you authorize, such as ERP systems, Slack, and Zapier, and relies on third-party data sources. Your use of those third parties is governed by their terms, and Arodus is not responsible for their availability, accuracy, or acts. Event records, ratings, and other outputs of the Service depend in part on third-party data that Arodus does not control and does not guarantee.

Intellectual property

Arodus and its licensors own all rights in the Service, including the platform, methodology, scoring and weighting methods, algorithms, software, the selection and arrangement of event records, aggregate network data, and brand. These Terms grant only a limited right to use the Service during your subscription. You may not copy, reproduce, or create derivative works from Arodus content or software. Feedback you provide may be used by Arodus without obligation.

Confidentiality

Each party will keep the other's non-public business information confidential and not disclose it without consent, except as required by law. Arodus treats your ERP data and identifiable inputs as confidential, and you treat Arodus's non-public methodology and platform architecture as confidential. These obligations survive termination for three years.

Disclaimers

The Service is provided as-is and as-available. Arodus disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Arodus does not warrant that the Service will be error-free or uninterrupted, or that event records, evidence labels, ratings, reports, or signals will be accurate, complete, or current. Vendor intelligence, event records, ratings, reviews, and reports are informational only, reflect public records, third-party data, and third-party opinions Arodus does not control, and do not constitute legal, financial, credit, investment, or procurement advice. You are responsible for your own vendor decisions.

Limitation of liability

Arodus's total liability arising from these Terms or the Service will not exceed the fees you paid in the 12 months before the claim. Arodus will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility. Where law does not allow certain exclusions, they apply to the maximum extent permitted.

Indemnification

You will indemnify and hold harmless Arodus and its officers, directors, and employees from claims, losses, and damages (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, your Contributions, your breach of law, or your data or content infringing or violating the rights of a third party.

Term and termination

These Terms remain in effect while your account is active. Arodus may suspend or terminate access immediately for material breach or non-payment, with notice. You may cancel any time from your account settings, and access continues through the end of the billing period. On termination, your data is handled as described in "Your data and rights to use it" and the Privacy Policy.

Dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration in Delaware under AAA rules, except either party may seek injunctive relief in court. You waive any right to bring or participate in a class action.

Third-party content and links

The Service displays headlines, publication metadata, and links to third-party publications. Arodus does not reproduce, store, or display the body text of third-party articles. Linked content is governed by the publisher's own terms; Arodus is not responsible for third-party content, paywalls, or availability. Publisher names and headlines are used for attribution and identification only and do not imply endorsement.

Reported (unverified) information

Certain items in the Service are labeled “Reported” or “Unverified.” These reflect the existence of third-party reporting or claims, such as press coverage, and are not statements of fact by Arodus, are not verified by Arodus, and are not treated as verified events. Customers should not rely on unverified items as factual findings.

Event records and evidence

Each event in the Service carries a date, a link to its source, and a label for the evidence behind it: “Official record” for court dockets, regulator filings, securities disclosures, and government lists; “First-party” for the organization's own statements, including its status page; and “Reported” for press coverage, prediction markets, and other third-party claims. An event is treated as verified only when it rests on an official record or a first-party statement, per the published methodology. Event records restate and link to their sources. They are informational, not findings of wrongdoing, certifications, credit decisions, or professional advice.

Sharing reports and ratings

The Service lets you export reports and share them on authenticated links. Shared artifacts must be shared as generated: complete, unmodified, and carrying the date and methodology reference they were generated with. You may not excerpt or alter an event record, rating, or report so that it appears without its date and methodology reference, or an event without its source; present any event record, rating, or report as a certification, seal, or endorsement by Arodus; or use Arodus event records, ratings, or reports in advertising or marketing materials without Arodus's prior written consent. Event records and ratings change as evidence changes, and a shared artifact speaks only as of its date. You are responsible for your distribution of shared artifacts and for the use made of them by anyone you share them with.

Listed organizations: corrections and disputes

Arodus maintains a corrections channel for any organization that appears in the Service (a “Listed organization”), whether or not it is a customer. A Listed organization that believes an event or other listed fact about it is wrong may write to disputes@arodus.com identifying the item and the evidence. Arodus reviews disputes against the underlying record. Where the underlying fact is wrong, most commonly an event attached to the wrong company, the event is retracted and the retraction is logged. Filing a dispute does not by itself change any event, rating, or listing, and Arodus retains discretion over the resolution of every dispute. This section describes Arodus's practice and does not create obligations enforceable by persons who are not party to these Terms.

Corrections and removals

Where a third-party publication is retracted or removed at the source, Arodus removes the corresponding link. Events anchored to official records remain, citing the record.

Forecasts and market-implied probabilities

Certain items in the Service display probabilities derived from third-party prediction markets, labeled as forecasts. These reflect market prices at a point in time, are not predictions, opinions, or statements of fact by Arodus, are not verified, and are not treated as verified events. Forecast items are archived when the underlying market resolves, with the outcome recorded.

Founding Member pricing

(a) Eligibility. The first 100 workspaces to activate a paid subscription with an Active Connection, in the order they activate, are Founding Member workspaces. Reserving a seat before launch does not by itself make a workspace a Founding Member workspace.

(b) Price. A Founding Member workspace pays $20 per month, plus applicable taxes, for the Pro plan, regardless of its vendor spend, for as long as it keeps an Active Connection and its subscription remains in effect. The price-change provision and the vendor-spend rules for Startup and Standard in “Subscriptions and billing” do not apply to Founding Member pricing. A Founding Member subscription has no trial: the first $20 is charged when the Owner starts it, and each month after that until it is canceled. Charges are not refunded. A workspace that has started a Founding Member subscription holds its place for 30 days from that first charge while it connects its accounting system, and becomes a Founding Member workspace when it first reaches an Active Connection. If it has not reached an Active Connection within those 30 days, its place is released and its subscription continues on the Standard plan at the then-current list price. Arodus will give the Owner at least 14 days' written notice before the first charge at the Standard price; connecting before that charge keeps the place and the Founding Member price, and the Owner may cancel before that charge.

(c) Active Connection. A workspace has an Active Connection while a supported accounting system remains connected to Arodus and has completed at least one successful sync in the preceding 30 days. Sync failures caused by Arodus or its subprocessors do not count against the workspace.

(d) Loss of Founding Member pricing. If a Founding Member workspace goes 30 consecutive days without an Active Connection, Arodus may move it to the then-current list price for its plan. Arodus will give the Owner at least 14 days' written notice before the first charge at the new price. Restoring an Active Connection before that charge keeps Founding Member pricing. The Owner may cancel before that charge.

(e) Cancellation. Founding Member pricing ends if the subscription is canceled or ends for nonpayment. A workspace that resubscribes after that pays the then-current list price.

(f) Continuity. Founding Member pricing stays with the workspace if the Owner's company is acquired or renamed and the workspace continues. It cannot be transferred to another workspace. If Arodus retires or replaces the Pro plan, the workspace moves to the closest successor plan at the Founding Member price.

(g) Fair use. API and MCP access on a Founding Member workspace is subject to the same published usage limits as other Pro workspaces.

(h) Amendments. No update to these Terms reduces the Founding Member price, or narrows the terms of this section, for a workspace that is a Founding Member workspace when the update takes effect.

General

These Terms, including the Data Processing Addendum, and the Privacy Policy are the entire agreement regarding the Service. If they conflict on the processing of personal data, the Data Processing Addendum controls. If a provision is unenforceable, the rest remains in force. Failure to enforce a right is not a waiver. You may not assign these Terms without Arodus's written consent. Arodus may update these Terms with 30 days notice, and continued use after the effective date constitutes acceptance.
