Terms of Service

These Terms of Service are a binding agreement between you (or the organization you represent, "Customer") and Arodus Inc. ("Arodus") governing access to and use of the Arodus platform and arodus.com (the "Service"). By creating an account or using the Service, you confirm that you have read and agree to these Terms. If accepting on behalf of an organization, you represent that you have authority to bind that organization.
The service
Arodus provides a subscription-based vendor risk intelligence platform that connects to your ERP system to identify, score, and monitor supplier risk across six dimensions: operational, financial, cybersecurity, compliance, reputational, and strategic. Features available depend on your plan as described at arodus.com. Arodus may modify, enhance, or discontinue features with reasonable prior notice.
Account registration
To use the Service, you must register with a valid business email address and accurate company information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at legal@arodus.com if you suspect unauthorized access. You may not share login credentials with individuals outside your organization or across unaffiliated companies.
Subscriptions and billing
Arodus offers a 30-day trial. After the trial, continued access requires an active paid subscription: Standard at $150 per month, or Pro at $300 per month. Both plans include unlimited vendor monitoring and unlimited user seats. Subscriptions are billed monthly and renew automatically unless cancelled. Cancellation takes effect at the end of the current billing period with no prorated refund for partial months. Pricing may be updated with 30 days written notice to active subscribers.
Acceptable use
You may use Arodus only for lawful, internal business purposes on behalf of your registered organization. You may not: resell or sublicense access to the Service; use the Service to build a competing product or extract proprietary scoring logic; reverse-engineer or disrupt platform infrastructure; or use the Service in violation of applicable law. Accounts found in material breach may be suspended or terminated without refund.
Your data
You retain ownership of all data you bring to Arodus, including ERP data, vendor lists, and payment records. You grant Arodus a limited, non-exclusive license to process that data solely to provide the Service. Arodus does not sell your data. Upon cancellation or written request, your data will be deleted within 30 days. You represent that you have the legal right to connect your ERP system and share the relevant data with Arodus.
Intellectual property
Arodus and its licensors own all rights in the Service, including the platform, risk scoring methodology, algorithms, software, and brand. These Terms grant you only the limited right to use the Service during your subscription. You may not copy, reproduce, or create derivative works from Arodus content or software. Feedback or suggestions you share with Arodus may be used by Arodus without obligation to you.
Confidentiality
Each party agrees to keep the other's non-public business information confidential and not disclose it to third parties without prior written consent, except as required by law. Arodus treats your ERP data and vendor information as confidential. You treat non-public information about Arodus's scoring methodology and platform architecture as confidential. Confidentiality obligations survive termination for three years.
Disclaimer of warranties
The Service is provided as-is and as-available. Arodus disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Arodus does not warrant that the Service will be error-free, uninterrupted, or that risk scores will be accurate or complete. Vendor risk intelligence provided by Arodus is informational only and does not constitute legal, financial, or procurement advice.
Limitation of liability
Arodus's total liability for any claim arising from these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim. Arodus shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility. Some jurisdictions do not allow exclusion of certain damages; those exclusions apply to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify and hold harmless Arodus, its officers, directors, and employees from any claims, losses, or damages (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, your breach of applicable law, or your data infringing the rights of a third party.
Term and termination
These Terms remain in effect while you have an active account. Arodus may suspend or terminate your access immediately for material breach or non-payment, with written notice. You may cancel at any time from your account settings; access continues through the end of the billing period. Upon termination, your data will be deleted within 30 days per our Privacy Policy.
Dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in Delaware under AAA rules, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to bring a class action against Arodus.
General
These Terms and the Privacy Policy constitute the entire agreement between you and Arodus regarding the Service. If any provision is unenforceable, the remainder stays in force. Arodus's failure to enforce any right is not a waiver. You may not assign these Terms without Arodus's written consent. Arodus may update these Terms with 30 days advance notice; continued use after the effective date constitutes acceptance.
